Welcome to UYCEP Virginia. UYCEP Virginia and related UYCEP programs, representatives, affiliates, and authorized service operators (collectively, “UYCEP Virginia,” “we,” “our,” or “us”) provide website features, educational content, consultation and assessment services, online and in-person programs, events, payment pages, application forms, and related products and services to you when you visit www.uycep.com or otherwise access or use any page, platform, form, application, program, or service that references these Conditions of Use (collectively, the “Services”). By using the Services, you agree, on behalf of yourself and, where applicable, any student, child, household member, or other person for whom you act, to the following conditions.

We offer a wide range of Services, and in some cases additional terms, consent forms, enrollment terms, program-specific rules, assessment notices, payment terms, or privacy disclosures may apply. When you use a particular Service, those additional terms form part of your agreement with us. If these Conditions of Use are inconsistent with program-specific or service-specific terms, the service-specific terms will control for that Service.

ELECTRONIC COMMUNICATIONS
When you use the Services, or send emails, text messages, online forms, or other communications from your computer or mobile device to us, you may be communicating with us electronically. You consent to receive communications from us electronically, including by email, text message, website notice, form response, messaging platform, or other electronic means, and you agree that such communications satisfy any legal requirement that they be in writing, to the extent permitted by law.
COPYRIGHT
All content included in or made available through any UYCEP Virginia Service, such as text, graphics, logos, icons, images, downloads, forms, videos, course materials, worksheets, data compilations, audio clips, software, and program content, is the property of UYCEP Virginia or its content suppliers and is protected by United States and international copyright and intellectual property laws.
TRADEMARKS
UYCEP, UYCEP Virginia, related logos, program names, page headers, button icons, scripts, educational brand assets, and service names included in or made available through any Service may be trademarks, service marks, or trade dress of UYCEP Virginia or related rights holders. They may not be used in connection with any product or service that is not authorized by UYCEP Virginia or in any manner likely to cause confusion or imply sponsorship, endorsement, or affiliation.
LICENSE AND ACCESS
Subject to your compliance with these Conditions of Use, any applicable service-specific terms, and payment of any applicable fees, UYCEP Virginia grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and make personal, lawful, and non-commercial use of the Services. This license does not include any resale or commercial use of any Service or its contents; any collection or use of content, program descriptions, prices, schedules, or user information; any derivative use of any Service or its contents; any downloading, copying, recording, redistributing, retransmitting, reproducing, publishing, or other use of educational materials except as expressly permitted in writing; any use of data mining, scraping, robots, or similar data gathering tools; or any use of the Services, materials, or outputs to train or improve artificial intelligence or machine learning systems without our prior written consent. All rights not expressly granted are reserved by UYCEP Virginia and its licensors.
YOUR ACCOUNT
You may need your own account, registration, or verified payment details to use certain Services. You are responsible for maintaining the confidentiality of your account credentials, restricting access to your devices and accounts, and accepting responsibility for all activities that occur under your account or through your credentials. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian. Where a Service relates to a minor student, the parent, guardian, or authorized institution representative using the Service represents that they are authorized to provide required consents and make decisions on the student’s behalf. UYCEP Virginia reserves the right to refuse service, suspend access, terminate accounts, remove content, cancel registrations, or limit participation at its sole discretion, subject to applicable law and any written agreement to the contrary.
SUBMISSIONS, COMMUNICATIONS, AND OTHER CONTENT
You may submit inquiries, forms, applications, comments, testimonials, reviews, documents, assessment materials, photographs, videos, written work, project materials, or other content in connection with the Services, so long as the content is not unlawful, defamatory, threatening, invasive of privacy, infringing of intellectual property rights, misleading, harmful to minors, or otherwise objectionable. You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of content. If you submit content or materials, and unless we state otherwise in writing, you grant UYCEP Virginia a non-exclusive, worldwide, royalty-free right to host, store, reproduce, adapt, display, distribute, and use that content solely as reasonably necessary to provide the Services, operate programs, maintain records, comply with law, conduct authorized educational or administrative functions, and improve our offerings. You represent and warrant that you own or control the rights to the content you submit or are otherwise authorized to provide it, and that our use of such content as permitted under these Conditions will not violate any law or third-party rights.
PROGRAM MATERIALS AND INTELLECTUAL PROPERTY
Educational materials, evaluation tools, workshop content, curriculum elements, training documents, software, coding materials, slides, recorded sessions, reports, templates, forms, and related resources made available by UYCEP Virginia are protected materials. Except where expressly permitted in writing, you may not copy, publish, upload, distribute, translate, modify, create derivative works from, sell, license, publicly display, record, repost, share with third parties, or otherwise exploit such materials. Consistent with the content visible on UYCEP’s published agreements, protected program materials, digital content, videos, books, booklets, software, robotics and coding materials, and other educational outputs may not be transferred to third parties without authorization.
PAYMENTS, REGISTRATIONS, AND THIRD-PARTY PROCESSORS
Some Services may require payment, deposit, registration fee, tuition, or other charges. By submitting payment information, you represent that you are authorized to use the payment method provided and authorize us and our third-party processors to charge the applicable fees, taxes, and related charges. Certain payments may be processed through third-party payment processors, including international processors, and you acknowledge that such processors may impose their own terms, fees, exchange charges, verification requirements, or technical restrictions. As reflected in UYCEP’s publicly available student agreement, UYCEP may use national or international third-party payment processors for certain transactions. Unless otherwise required by law or stated in a written refund policy or service-specific agreement, fees are non-refundable once the relevant Service has been reserved, scheduled, delivered, or substantially made available.
ATTENDANCE, PARTICIPATION, AND USER RESPONSIBILITIES
Participation in educational, counseling, assessment, workshop, camp, competition, consulting, and related Services may require timely attendance, appropriate behavior, completion of forms, timely submission of information, and compliance with program rules. Parents, guardians, or participants are responsible for communicating absences and for ensuring that the participant is prepared with any required materials, equipment, internet access, or devices. Unless otherwise stated in writing, missed sessions, unused access, participant absence, device failures outside our control, or failure to comply with instructions do not create a right to refund, replacement, or credit.
CHILDREN AND PARENTAL CONSENT
Many UYCEP Virginia Services are intended for children and students. A parent, guardian, school representative, or other authorized adult must provide any legally required permissions, disclosures, acknowledgments, and consents on behalf of a minor. By registering a child, submitting information about a child, requesting services for a child, or allowing a child to participate in a Service, you represent that you are authorized to do so.
THIRD-PARTY SERVICES AND OTHER BUSINESSES
Parties other than UYCEP Virginia may operate platforms, provide software, host video meetings, process payments, deliver scheduling functionality, provide learning environments, or otherwise support certain aspects of the Services. In addition, our website or materials may contain links to the sites of affiliated entities or other businesses. We are not responsible for examining or evaluating, and we do not warrant, the offerings, content, privacy practices, or acts of any such third parties. Your use of third-party services is subject to their own terms and policies.
DISCLAIMER OF WARRANTIES
THE SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, SOFTWARE, FORMS, DOCUMENTS, EDUCATIONAL CONTENT, ASSESSMENT TOOLS, REPORTS, AND OTHER MATERIALS MADE AVAILABLE TO YOU THROUGH THE SERVICES ARE PROVIDED BY UYCEP VIRGINIA ON AN “AS IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. TO THE FULLEST EXTENT PERMITTED BY LAW, UYCEP VIRGINIA MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES OR THE INFORMATION, CONTENT, MATERIALS, OR OTHER ITEMS MADE AVAILABLE THROUGH THE SERVICES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES, SERVERS, OR ELECTRONIC COMMUNICATIONS ARE FREE OF VIRUSES, HARMFUL COMPONENTS, INTERRUPTION, OR ERROR.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, UYCEP VIRGINIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, PROFITS, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF ANY SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF UYCEP VIRGINIA FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO UYCEP VIRGINIA FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless UYCEP Virginia, its representatives, affiliates, staff, contractors, and service providers from and against claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees arising out of or relating to your violation of these Conditions of Use, your misuse of the Services, your submitted content, or your violation of law or third-party rights.
DISPUTES
Any dispute, claim, or controversy relating in any way to your use of any Service, your participation in a program, any transaction, or these Conditions of Use shall, to the fullest extent permitted by law, be resolved exclusively in the state or federal courts located in the Commonwealth of Virginia, and you consent to personal jurisdiction and venue in those courts, unless another written agreement signed by UYCEP Virginia provides otherwise.
APPLICABLE LAW
By using any Service, you agree that the applicable federal law of the United States and the laws of the Commonwealth of Virginia, without regard to conflict of laws principles, will govern these Conditions of Use and any dispute of any sort that might arise between you and UYCEP Virginia, except to the extent superseded by mandatory law.
SITE POLICIES, MODIFICATION, AND SEVERABILITY
Please review our other policies, notices, consent forms, enrollment documents, and service-specific rules posted on our website or otherwise provided to you. These materials also govern your use of the Services where applicable. We reserve the right to make changes to our website, programs, content, policies, service terms, and these Conditions of Use at any time. If any condition is deemed invalid, void, or unenforceable for any reason, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
GOVERNING LANGUAGE
It is the express wish of the parties that these Conditions of Use be drawn up in English. In the event of any inconsistency, discrepancy, or conflict between the English version of these Conditions of Use and any translation, the English version shall prevail.
